McKesson Announces Final Voting Results from 2017 Annual Meeting of Stockholders

San Francisco, CA., July 28, 2017 — McKesson Corporation (NYSE:MCK) today announced results from its recent proxy vote, available in the Form 8-K filed with the Securities and Exchange Commission. McKesson’s shareholders reelected all board members by wide margins. While the shareholders did not support the current executive compensation program, they defeated shareholder proposals on an independent chair and on written consent by significant margins.

Chief Executive Officer and Chairman John H. Hammergren received strong support from shareholders as the chair of the Board with a 96.5% approval and with the defeat of the shareholder proposal to split the CEO and chair roles.

Regarding executive compensation, the Board’s Compensation Committee plans to conduct a thorough review of the current program, have discussions with shareholders about any recommended changes and, as evidenced over the years, continue to make changes designed to further drive alignment between our incentives and shareholder value creation.
