Alternative Language Label Directions Terms and Conditions

1. SERVICE AGREEMENT. Subject to Client's compliance with the terms of this Exhibit, in addition to printing label directions in English, McKesson agrees to enable the Software to print label directions for specified customers in one additional alternative language (the "Alternative Language"), beginning on the date the Software is first enabled by McKesson and continuing for the term of the Agreement.

2. PAYMENT TERMS. Client agrees to pay McKesson the Alternative Language Activation Fee, or if leasing, the Alternative Language Start-up Fee as specified on the CS upon execution of this CS.

3. CLIENT RESPONSIBILITIES

3.1 General Responsibilities. Client responsibilities will include (i) providing the proper true type font for the Alternative Language selected by Client; (ii) providing any necessary equipment such as, but not limited to, specialized keyboards to ensure proper functionality in using the Alternative Language; (iii) inputting the sig codes with the proper corresponding label directions; (iv) verifying the label directions printed on all labels are a true and accurate display of the intended directions as prescribed by the ordering health care professional; (v) securing the proper contracts required by Client for the use of the true type fonts (if applicable); and (vi) ensuring the Software is at the minimum software version required to support Alternative Language functionality.

3.2. Additional Fees. Client agrees to be responsible for (i) the cost of any Third Party Products, including Equipment and Software or databases, necessary to enable the Alternative Language functionality; and (ii) any installation and implementation services required to install and implement such Third Party Equipment.

3.3. Fonts Supplied by McKesson. McKesson may, but shall not be obligated to, provide Client with the fonts for the selected Alternative Language or provide Client with names or websites of providers of fonts for the Alternative Language. Client agrees to verify any and all fonts prior to using the fonts as live data. In the event that an error is found upon verification of the fonts provided by McKesson, Client agrees to notify McKesson immediately by phone, followed in writing, and will allow McKesson to either perform and/or communicate error corrections, provide Client with alternate providers of fonts, allow Client to update or replace current fonts with corrected fonts, or allow McKesson to disable the Software for Alternative Language functionality. Notwithstanding anything to the contrary contained in the Agreement, Client acknowledges and agrees that the use and accuracy of the Alternative Language is the sole responsibility of Client, and Client assumes the risk of liability for and agrees, at its sole expense, to indemnify, defend and hold harmless McKesson, its suppliers, and their respective affiliates, from and against any and all liabilities, losses, damages, claims, and expenses (including legal expenses) arising out of or relating to, directly or indirectly the pre-loaded data, converted data and/or updated data.
